Modu Public Offer (Kazakhstan)

This Public Offer (this “Offer”) is published by Modu Technologies LLP (“Modu,” “we,” “us”) pursuant to Articles 395, 396 and 447 of the Civil Code of the Republic of Kazakhstan, and constitutes an agreement between Modu and a legal entity or individual entrepreneur (the “Client”) who accepts it, governing the terms on which the Client subscribes to Modu's software services.

This Offer supplements, and does not replace, the Modu Terms of Use and the Modu Payments Agreement, both available on this site. Where a term of this Offer and the Terms of Use address the same matter, the Terms of Use control.

This Offer is Modu's public proposal, addressed to legal entities and individual entrepreneurs, to enter into an agreement on the terms set out below.

This Offer may be accepted by any legal entity or individual entrepreneur registered in the Republic of Kazakhstan intending to use Modu's software services described on this site.

The Client unconditionally accepts all terms of this Offer in full and without exception.

A person who accepts this Offer becomes a “Client.”

Acceptance occurs when the Client creates an Account, selects a paid plan, and completes payment for it in accordance with Section 6.

This Offer, any amendments to it, and additional information about Modu's plans are published on this site and at modu.kz.

The site is Modu's property and is used to offer Modu's software services (invoicing, accounting, reimbursements, and related financial tooling) to businesses over the internet.

Modu does not sell, deliver, or warehouse physical goods. References in Kazakhstani law to “goods” in the context of a public offer are, for Modu, references to the software services described in Section 4.

Modu is not responsible for the content or accuracy of information the Client provides when creating an Account.

The Client is responsible for the accuracy of the information provided when creating an Account and confirms that this information does not infringe the rights of third parties.

Information the Client provides is confidential and processed in accordance with our Privacy Policy, to which the Client separately consents.

Modu provides the Client with access to its software services on a subscription basis, on the terms and at the prices set out on this site, based on the plan the Client selects.

Modu's services are software delivered over the internet. There is no physical delivery, courier, self-pickup, or carrier — Section 9 (Provision of Access) governs how and when access is granted instead.

Kazakhstani civil and commercial legislation, including the Law of the Republic of Kazakhstan “On Consumer Protection” where the Client is a natural person, and other applicable acts, apply to the relationship between the Client and Modu to the extent not superseded by the Terms of Use.

Modu's plans, their scope, and current prices in tenge are described on the Pricing page of this site. Plan descriptions are informational; if you have questions before subscribing, contact us using the details in Section 14.

Modu may add, modify, or discontinue individual features within a plan going forward; such changes do not retroactively reduce what was included in a period the Client has already paid for.

The Client selects a plan on the Pricing page or from within their Account and completes the signup and payment flow on this site.

The agreement is considered concluded (Offer accepted) from the moment Modu receives confirmation of the Client's payment for the selected plan.

Modu does not edit information the Client submits during signup.

Prices shown on this site are in Kazakhstani tenge (KZT) per billing period (monthly or annual, as selected).

Modu may change prices for future billing periods; the price for a period the Client has already paid for will not change.

Payment is made in tenge through Modu's licensed banking or payment partner, using a method available in the Client's Account. Payment processing is described in more detail in the Modu Payments Agreement.

The Client's obligation to pay is considered fulfilled once the corresponding funds are credited to the account designated by Modu's payment partner.

Access to the plan the Client has paid for is granted electronically by activating the corresponding features on the Client's Account, generally immediately and no later than one business day after payment is confirmed.

If a payment fails to complete or is later reversed, Modu may suspend or restrict access to the corresponding plan.

Modu's services are provided “as is” and “as available,” on the terms described in the No Warranty section of the Modu Terms of Use, which apply to this Offer.

The Client may cancel their subscription at any time from Account settings or by contacting Modu using the details in Section 14.

Upon cancellation before the end of a paid billing period, Modu will refund the unused portion of that period on a pro-rata basis, calculated from the date Modu receives the cancellation request.

Refunds are issued to the same payment method used for the original payment, or another account the Client designates, within 15 calendar days of the cancellation request.

The parties are liable in accordance with Kazakhstani legislation and, in particular, the Limitation of Liability section of the Modu Terms of Use, which apply to this Offer.

Neither party is liable for failure or delay in performance caused by circumstances of force majeure, for as long as those circumstances continue.

This Offer is governed by the legislation of the Republic of Kazakhstan and takes effect for a given Client upon acceptance under Section 1, remaining in effect until the parties' obligations are fully performed.

Disputes are resolved through negotiation and, failing that, in the courts of the Republic of Kazakhstan at the location of Modu's registration, consistent with the Modu Terms of Use.

Modu may expand or reduce the plans offered on this site and may suspend or discontinue a plan at its discretion, subject to Section 7 (Price) and Section 11 (Cancellation and Refunds) as to already-paid periods.
